Closeit.in, its founders, parent companies, directors, officers, employees, agents, and tech partners make no representations or warranties of any kind, express or implied, regarding the accuracy, completeness, quality, safety, legality, merchantability, or authenticity of any user-generated content, product descriptions, or listings posted by independent sellers.

1. User-Generated Content & Profile Descriptions

All content uploaded to the Platform—including store usernames, seller biographies, display profile photos, product images, clothing descriptions, measurements, pricing tags, rating reviews, and comments—is User-Generated Content (UGC). Closeit.in does not pre-screen, audit, verify, or edit listings before they go live on our search feeds. The responsibility for the accuracy, truthfulness, and legality of all listings rests solely with the individual seller who uploaded the material.

Closeit.in does not guarantee that the product description matches the physical garment's exact condition, shade of color, or fit dimensions. Minor wear, color fading, loose threads, or textile blemishes are standard characteristics of second-hand clothes. It is the buyer's duty to clarify sizing, request additional photos, or ask questions via our in-app chat framework prior to purchasing. We are not liable for any disappointment, monetary loss, or injury resulting from inaccurate descriptions or low-quality product photos provided by users.

2. Product Authenticity and Trademark Disclaimer

Our platform displays pre-owned luxury garments, premium streetwear labels, and sportswear brands (such as Nike, Adidas, Prada, Tommy Hilfiger, and Essentials). Closeit.in is an independent marketplace and is not affiliated, associated, authorized, endorsed by, or in any way officially connected with these brands, their parent corporations, or their subsidiaries. All brand names, logos, trademarks, and registered designs displayed on our listings belong exclusively to their respective intellectual property owners.

While Closeit.in strictly prohibits the listing and sale of counterfeit, replica, duplicate, or bootleg items under our Terms of Service, we do not inspect or verify the authenticity of every physical garment listed on our digital feeds. We encourage buyers to exercise caution and diligence. The seller represents that the product listed is authentic. If a buyer receives a counterfeit item, they must flag the order within our 48-hour dispute escrow window. Closeit.in's liability is restricted to coordinating platform dispute steps and, if fraud is verified, refunding the escrow amount. We are not responsible for any copyright or trademark infringements committed by sellers on the Platform.

3. Seller Responsibility and Legal Compliance

Sellers on Closeit.in are independent contractors operating their own micro-businesses. By listing items, the seller guarantees that they possess full legal ownership of the garment, that it is free from liens or disputes, and that they have the legal right to transfer ownership to the buyer. The seller is solely responsible for:

• Ensuring that the clothing listed is clean, washed, and sanitized in compliance with hygiene guidelines.
• Packaging the item securely to avoid damage during transit.
• Dispatching the parcel within the specified 3-business-day timeline.
• Calculating, reporting, and paying any personal income or transaction taxes (such as GST, if applicable) that arise from their selling activity on the Website.

Closeit.in is not an employer, partner, or joint venture associate of any seller. We do not issue guarantees on behalf of sellers, nor do we assume liability for their failure to dispatch orders, slow shipping times, or unprofessional communication.

4. Buyer Diligence & Health Risks

Thrifting involves purchasing pre-owned items. Buyers are advised that garments may have been worn, stored, or laundered by previous owners. Closeit.in does not inspect the sanitary state of listed clothing. We advise buyers to thoroughly wash, sanitize, and steam-press all purchased thrift items before wearing them to avoid potential skin allergies, chemical sensitivities, or hygiene concerns. Closeit.in disclaims all liability for skin rashes, infections, or health issues arising from wearing garments bought through our Platform.

5. Marketplace Escrow & Payment Limitations

Closeit.in offers a transaction escrow system to hold payments until delivery is verified. While this system mitigates payment scams, you acknowledge that:

• Escrow processing is handled by third-party payment gateways. We are not liable for bank gateway delays, UPI transaction failures, or technical database errors that prevent funds from updating on your dashboard.
• Our dispute resolution process relies on shipping tracking details and photos submitted by both parties. Closeit.in's decision regarding escrow disputes is final and binding for platform processing, but does not prevent parties from seeking legal remedies independently.
• If you choose to complete payments outside our escrow checkout (e.g., direct bank transfer to a seller, cash on delivery organized privately), you forfeit all platform buyer protection. Closeit.in assumes zero liability for transactions executed outside our checkouts.

7. Marketplace System Interruptions

Closeit.in does not guarantee that the Website will operate uninterrupted, error-free, or secure from cybersecurity threats, server hacks, database corruptions, or computer viruses. We perform regular platform updates and database optimizations that may result in temporary offline status. We are not liable for any loss of sales, profile data, saved items, follower lists, or listing configurations during system downtimes, server updates, or cyber attacks.

8. Limitation of Legal Liability

Under no circumstances, including negligence, shall Closeit.in, its parent companies, directors, officers, employees, or tech partners be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to:

• Any transaction dispute, delay in shipping, or quality defect in products traded between users.
• Any unauthorized access to, alteration of, or theft of your personal profile data, bank codes, or list of transactions.

In jurisdictions that do not allow the exclusion or limitation of certain liabilities, Closeit.in's total liability to you for all claims, damages, and losses shall be limited to the platform service fee (if any) paid by you to Closeit.in during the transaction giving rise to the dispute.

You agree to indemnify, defend, and hold harmless Closeit.in, its parent companies, affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from your violation of our Terms of Service, this Disclaimer, your profile listings, or your infringement of any third-party intellectual property or privacy rights.

10. Governing Law and Jurisdiction

This Disclaimer, our Privacy Policy, and your use of Closeit.in shall be governed by and construed in accordance with the laws of India. Any legal action, suit, or dispute arising out of or in connection with our services must be filed exclusively in the courts located in New Delhi, India. If any provision of this Disclaimer is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
